1. Acceptance of Terms

By accessing or using Penvo ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms. For material changes, we will notify you within the app.

2. Description of Service

Penvo is an AI-powered expense tracking application that allows users to log, categorize, and analyze personal and business expenses. Features include voice expense logging, receipt scanning, recurring bill reminders, shared ledgers, AA expense splitting, and business accounting tools.

3. User Accounts

  • You must be at least 13 years old to use the Service.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must provide accurate and complete information when creating your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Responsibilities

You agree that you will not:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Upload or transmit viruses, malware, or any malicious code.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems.
  • Interfere with or disrupt the Service or servers.
  • Reverse engineer, decompile, or extract the source code of the Service.
  • Use the Service to store or transmit infringing, libelous, or otherwise unlawful material.
  • Resell, sublicense, or commercially exploit the Service without our written permission.

5. Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, and the design and arrangement thereof) are owned by Penvo, its licensors, or other providers and are protected by copyright, trademark, and other intellectual property laws.

Your data (expense records, categories, notes, and related content) remains your property. By using the Service, you grant us a limited license to store and process your data solely for the purpose of providing the Service to you.

6. Acceptable Use

You agree to use the Service only for its intended purpose of personal and business expense tracking. We reserve the right to investigate and take appropriate action against anyone who violates this provision, including suspending or terminating your account.

7. Payments and Subscriptions

  • Penvo offers both free and paid subscription tiers. Paid features are clearly marked within the app.
  • Subscriptions are processed through the Apple App Store or Google Play Store, and are subject to their respective terms.
  • Subscription fees are non-refundable except as required by applicable law or the app store's refund policy.
  • We may change subscription fees with reasonable notice. Price changes will not affect your current billing period.
  • You may cancel your subscription at any time through your app store account settings.

8. Third-Party Services

The Service integrates with third-party services including but not limited to Google Sign-In, Apple Sign-In, Firebase (data storage), xAI (AI parsing), and RevenueCat (subscription management). Your use of these services is subject to their respective terms and privacy policies.

We are not responsible for the content, functionality, or practices of any third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any data or information processed through the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PENVO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Penvo and its affiliates, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

  • You may stop using the Service at any time without notice.
  • We may suspend or terminate your account at our discretion if you violate these Terms.
  • Upon termination, your right to use the Service will immediately cease.
  • Provisions that by their nature should survive termination (including Sections 5, 9, 10, and 11) will survive.
  • We will delete your data in accordance with our Privacy Policy.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will update the "Last Updated" date above. We encourage you to review these Terms periodically. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in Santa Clara County, California, except that either party may seek injunctive relief in court for intellectual property violations.
